Terms & Conditions

These Terms and Conditions (the “Terms”) govern access to and use of the website leadconsultingenterprise.com (the “Site”) and, where expressly incorporated, the provision of services by Lead Consulting Enterprise LLC, a limited liability company organised under the laws of the State of Wyoming, United States (“LCE”, “we”, “us”, “our”).

1. Acceptance

By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site. If you use the Site on behalf of an organisation, you represent that you are authorised to bind that organisation.

2. Definitions

3. Nature of the Site

The Site is informational. Nothing on it constitutes an offer capable of acceptance, and nothing on it creates a client relationship. Content on the Site is provided for general information only and does not constitute legal, tax, accounting, financial or investment advice.

4. The Services

LCE provides (a) consulting services intended to help companies review and optimise their operations and production processes, and (b) lead generation and growth services delivered through paid advertising, organic funnels and related commercial activity.

The scope, deliverables, timelines, service levels and commercial terms of any Service are set out exclusively in an Engagement Agreement. Where these Terms conflict with an Engagement Agreement, the Engagement Agreement prevails for that engagement.

5. No guarantee of results

LCE performs the Services with reasonable skill and care. However, commercial outcomes depend on factors outside our control, including market conditions, competition, pricing, product quality, the Client’s own operations and sales capability, and the policies and pricing of third-party advertising platforms. LCE does not guarantee any specific volume of leads, conversion rate, revenue, cost per acquisition, return on investment or other business result, and no statement on the Site or in any communication should be interpreted as such a guarantee.

6. Fees, commissions and payment

7. Client responsibilities

8. Third-party platforms

Delivery of the Services may depend on third-party platforms and tools, including advertising networks, hosting providers, analytics and CRM systems. Those platforms are governed by their own terms and may change their policies, pricing, functionality, approval decisions or measurement methodology at any time. LCE is not liable for the acts, omissions, outages, account suspensions, policy decisions or reporting discrepancies of any third-party platform.

9. Intellectual property

All content on the Site, including text, layout, graphics, code and the LCE name and marks, is owned by LCE or its licensors and is protected by applicable intellectual property laws. You may view and print pages for your own internal business use. You may not copy, reproduce, republish, distribute, modify or create derivative works from the Site without our prior written consent.

Ownership of deliverables produced under an Engagement Agreement is governed by that agreement. In the absence of a contrary provision, LCE retains ownership of its pre-existing materials, methodologies, frameworks, templates and know-how, and grants the Client a non-exclusive, perpetual licence to use them internally to the extent embedded in the deliverables.

10. Confidentiality

Each party will keep the other party’s non-public information confidential, use it only for the purposes of the engagement, and protect it with at least the degree of care it applies to its own confidential information. This obligation does not apply to information that is or becomes public without breach, was lawfully known before disclosure, is independently developed, or must be disclosed by law or court order.

11. Data protection

Each party will comply with applicable data protection law. Where LCE processes personal data on behalf of a Client, it does so as a processor or service provider on the Client’s documented instructions under a data processing agreement forming part of the Engagement Agreement. Our handling of personal information as a controller is described in our Privacy Policy.

12. Non-solicitation

During an engagement and for twelve (12) months afterwards, neither party will knowingly solicit for employment any individual directly involved in delivering or receiving the Services, except through a general public recruitment process not targeted at that individual.

13. Term and termination

Engagements run for the term stated in the Engagement Agreement. Either party may terminate for material breach that remains uncured thirty (30) days after written notice, or immediately on the other party’s insolvency. On termination, the Client remains liable for fees and commissions earned up to the effective date of termination, including commissions on qualifying results attributable to activity carried out before that date within the agreed attribution window.

14. Disclaimer of warranties

The Site is provided “as is” and “as available”. To the fullest extent permitted by law, LCE disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the Site will be uninterrupted, error-free or free of harmful components. Nothing in these Terms excludes any liability that cannot lawfully be excluded.

15. Limitation of liability

To the fullest extent permitted by law, LCE will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profit, revenue, data, goodwill or business opportunity, however caused and under any theory of liability. LCE’s total aggregate liability arising out of or relating to the Site or an engagement will not exceed the total amount of fees and commissions actually paid by the Client to LCE in the six (6) months immediately preceding the event giving rise to the claim, or one hundred United States dollars (USD 100) where no fees have been paid.

16. Indemnity

The Client will indemnify and hold harmless LCE and its members, officers, employees and contractors from claims, damages, liabilities and reasonable costs arising from the Client’s breach of these Terms or an Engagement Agreement, the Client’s products or services, materials or claims supplied by the Client, or the Client’s handling of Leads and personal data.

17. Force majeure

Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including natural events, war, civil unrest, labour disputes, governmental action, epidemics, failures of telecommunications or internet infrastructure, or the suspension or material change of a third-party platform.

18. Governing law and disputes

These Terms and any non-contractual obligations arising from them are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming, unless an Engagement Agreement provides for arbitration or another forum. Nothing in this clause deprives a consumer of the protection of mandatory provisions of the law of their country of residence, where such protection applies.

20. Changes to these Terms

We may amend these Terms at any time by posting an updated version on this page with a revised date. Continued use of the Site after publication constitutes acceptance. Changes do not retroactively alter an executed Engagement Agreement.
